License Terms
License Terms for Vextrify Online, the local desktop app, Lifetime Studio, updates, device activation, premium features, profiles and exported production files.
1. Provider and Scope
These License Terms apply to the use of Vextrify by customers of SMART Marketing UG, Gebrüder-Meyer-Str. 6, 32758 Detmold, Germany. They apply to the online application, the local desktop app, profiles, projects, material recipes, artboards, 3D relief workflows, batch processing, exports, license keys, updates and optional premium features. In addition, the Terms and Conditions, the Privacy Policy and the plan and price details displayed at the time of the respective purchase apply.
2. License Types
Depending on the offer, Vextrify can be used under different license models: - Monthly license: use during the paid monthly term. - Half-year license: use during the paid six-month term. - Annual license: use during the paid twelve-month term. - Lifetime Studio: one-time acquisition of a permanently activated local production workstation, including 12 months of Studio Online, AI tools and updates from the date of purchase. - Update and Studio renewal: extension of updates, Studio Online and AI tools for Lifetime Studio by a further 12 months. The specific scope of functions follows from the plan booked and may differ between the online app, the local app and optional premium features.
3. Scope of the Right of Use
The customer receives a simple, non-exclusive, non-transferable and non-sublicensable right to use Vextrify within the scope of the plan booked. Use is permitted for private, commercial and industrial laser projects. This includes in particular the preparation, optimization and export of engraving, marking, cutting, relief, photo, vector, QR and artboard files for the licensee's own projects or customer orders.
4. User and Device Limit
A standard license is initially intended for one user and one activated device. Use by several persons, teams, locations or additional devices requires a corresponding extension, a Business license or express approval by Vextrify. A device change may be made possible if a device is replaced, sold, damaged or taken out of service. To protect against misuse, Vextrify may provide for a reasonable review, deactivation of old devices or a time limit on device changes.
5. Online App, Desktop App and Offline Use
The online app requires an internet connection. The local desktop app is designed for production-oriented use on the customer's own device and can run core functions locally. For activation, license verification, update entitlement, device changes, premium features and security checks, the desktop app may need a connection to Vextrify servers. Offline use may be made possible through locally stored and signed entitlements. After an entitlement expires, is revoked or is suspended, online, update or premium functions may be restricted.
6. Lifetime Studio, Studio Online and Updates
Lifetime Studio means the one-time acquisition of a permanently activated local production workstation to the extent contractually acquired. It includes 12 months of Studio Online, AI tools and updates from the date of purchase. The local production workstation remains enabled for local work after the first year, provided that no security-related suspension, breach of contract or technical dependency prevents this. Studio Online, AI tools, new versions, new features, compatibility updates and future file formats may require an active renewal or an active subscription after the first year.
7. Premium Features and Usage Limits
Some functions may be limited depending on the plan or available only with an internet connection. These may include in particular high-quality background removal, 4K upscaling, cloud profiles, cloud projects, batch processing, desktop bridge, premium exports, AI tools and commercial profile libraries. Vextrify may apply reasonable technical limits to ensure service stability, fair use, security and cost control. Automated mass requests, abusive use or circumvention of limits are not permitted.
8. Rights to Customer Data and Exports
The customer retains the rights to their uploaded images, designs, projects, profiles, artboards, texts, QR codes, vector data, relief files and exported production files. Vextrify claims no ownership rights to customer files or exports generated from them. The customer may use files generated with Vextrify for their own private, commercial and industrial purposes, sell them, deliver them to their own customers and import them into laser software such as LightBurn, EZCAD or comparable programs, provided that the rights of third parties are not infringed.
9. Profiles, Recipes and Presets
Profiles, material recipes and settings created by the customer themselves belong to the customer. Default profiles, presets, material databases, sample projects and internal processing logic provided by Vextrify remain the intellectual property of Vextrify or the respective rights holders. The customer may use Vextrify profiles within the scope of their own production. Resale, public distribution or commercial marketing of Vextrify's own presets, profile libraries or internal settings as a standalone competing product is not permitted without express consent.
10. Machine Control, Third-Party Software and Compatibility
Plan-dependent scope: Depending on the plan booked, Vextrify prepares files and parameters for external laser software (Studio plan) or controls compatible laser devices directly via the desktop app (Studio Pro/Lifetime Pro plan). Which functions are included in the plan booked follows from the scope of services displayed at the time of purchase. Supported and experimental controllers: Vextrify officially supports certain device classes and communication protocols (e.g. GRBL and Ruida-based devices). Other devices or protocols may be classified as experimental or untested and are labeled accordingly in the product. For experimental support, Vextrify gives no guarantee of full functionality or safety verification. Third-party software and controllers: LightBurn, EZCAD, drivers, firmware, machines, materials and payment providers are independent products and services of third parties. Vextrify strives for export compatibility, but cannot guarantee that every third-party software version, every firmware, every machine model or every material will permanently process all exported parameters identically. Customer's safety responsibility: Regardless of whether the laser is controlled directly via Vextrify or via third-party software, the customer remains responsible for material tests, safety checks, machine parameters (focus, power, speed, air), travel path checks, supervision during production and the final approval before every production run. 11. Prohibited Actions
In particular, the following are not permitted: - Passing on, renting, selling or sublicensing the app, license or access credentials. - Use of a single license by several users or several devices without approval. - Manipulation, circumvention or removal of license verification, signatures, device binding, limits or protection mechanisms. - Reverse engineering, decompilation or extraction of non-public software components, unless mandatorily permitted by law. - Use for unlawful content, infringement of third-party rights, deception, malware, circumvention of technical protection measures or abusive automation. - Publication or sale of Vextrify-internal presets, algorithms, profile libraries or license mechanisms as one's own product.
12. Expiry, Termination and Suspension
Upon expiry or termination of a subscription, access to online functions, premium functions, updates and server-side services ends, unless another active entitlement exists. Customer files that have already been exported remain usable. Vextrify may temporarily or permanently suspend access, license keys or device activations if there are payment arrears, security risks, misuse, manipulation of license verification, disclosure of access credentials or significant breaches of contract. Statutory rights of the customer remain unaffected.
13. Backing Up Your Own Data
The customer is responsible for adequately backing up their own project files, profiles, exports, material recipes and production data. Local data may be lost through loss of a device, defect, reinstallation, deletion of browser data or system errors. Insofar as cloud storage is offered and activated, the respective plan, storage and privacy terms apply.
14. Changes to the Scope of Functions
Vextrify may further develop functions in order to improve quality, security, compatibility, performance and legal compliance. Existing core functions will not be removed without an objective reason. Individual AI tools, third-party integrations or export paths may be adapted, replaced or restricted if technical, economic, legal or security-related reasons make this necessary.
15. Final Provisions
These License Terms exclusively govern the rights of use of Vextrify. Payment terms, withdrawal, warranty, liability, contract terms and termination details are governed additionally by the Terms and Conditions and the information displayed at the time of purchase. Should a provision be invalid, the validity of the remaining provisions remains unaffected. The law of the Federal Republic of Germany applies, insofar as no mandatory consumer protection provisions conflict with this.
